PUBLIC OFFER for the Conclusion of a Contract for the Sale and Purchase of Electrical Products
This document constitutes an official offer (public offer) by Euroelectroservice Limited Liability Company, hereinafter referred to as the “Seller”, to enter into a contract for the sale and purchase of electrical products with individuals and legal entities, hereinafter referred to as the “Buyer”, on the terms set out in this Offer.
This Offer is published on the website https://uec-ua.com/ (hereinafter referred to as the “Website”) in accordance with the applicable laws of Ukraine, in particular the Civil Code of Ukraine.
1. General Provisions
1.1. This Offer sets out the general terms governing the relationship between the Seller and the Buyer when ordering, purchasing and receiving electrical products presented on the Website.
1.2. The Seller operates in the electrical products sector, including products under the UEC trademark and other brands featured in the Website catalogue.
1.3. This Offer is addressed to an unlimited number of persons wishing to purchase the Seller’s products and agreeing to the terms of this Offer.
1.4. Information about products, their specifications, intended use, contents and indicative prices published on the Website is provided for informational purposes unless expressly stated otherwise. Product availability, final prices, delivery times and delivery terms are confirmed by the Seller when the order is agreed.
1.5. If the parties have agreed separate delivery terms, payment terms, prices or other provisions in an invoice, specification, order confirmation or separate contract, the agreed terms shall apply to the extent that they do not conflict with mandatory provisions of Ukrainian law.
2. Subject Matter of the Contract
2.1. The Seller undertakes to transfer ownership of electrical products to the Buyer, and the Buyer undertakes to accept and pay for them on the terms agreed by the parties.
2.2. The product range may include electrical equipment, circuit breakers, residual-current protection devices, switching devices, enclosures and cabinets, electrical installation accessories, lighting equipment, cable systems, accessories and other products presented on the Website.
2.3. The names, quantities, completeness, prices, delivery times and delivery locations for each consignment of products shall be determined by the agreed order and accompanying documents.
2.4. Photographs, diagrams, descriptions, catalogues, technical specifications and other materials on the Website are intended to familiarise users with the products. In the event of discrepancies, the confirmed specifications of the particular product and the manufacturer’s documentation shall prevail.
3. Order Placement and Acceptance Procedure
3.1. The Buyer may contact the Seller to purchase products using the contact details, feedback forms, personal account or other communication methods available on the Website.
3.2. To place an order, the Buyer shall provide the information necessary to process it, including the product names and quantities, contact details, recipient’s details and, where necessary, payment and registration information.
3.3. Upon receiving an enquiry, the Seller shall check whether the order can be fulfilled and inform the Buyer of the delivery terms, product availability, price and payment procedure.
3.4. Sending an enquiry, registering on the Website, adding products to an order list or contacting the Seller through a feedback form does not, in itself, constitute the conclusion of a sale and purchase contract unless expressly provided otherwise by the relevant order placement method.
3.5. A contract relating to a specific order shall be deemed concluded upon its acceptance in accordance with Ukrainian law and the terms agreed by the parties. This may occur when the Buyer receives an order confirmation from the Seller, when a separate contract is signed, or upon another action agreed by the parties that clearly indicates acceptance of the order.
3.6. The Seller may contact the Buyer to clarify information required to fulfil the order.
4. Product Prices and Payment Terms
4.1. Product prices shall be determined on the basis of the information confirmed by the Seller for the relevant order, taking into account agreed discounts, taxes and other applicable charges.
4.2. Where a price is displayed on the Website, it shall apply to the order subject to its being current and confirmed by the Seller, unless otherwise provided by law.
4.3. The total order value, advance payment terms, deferred payment terms or final settlement terms shall be specified in the invoice, specification, order confirmation or a separate contract.
4.4. Payment shall be made by bank transfer or by another method agreed by the parties and permitted by Ukrainian law.
4.5. The Buyer’s payment obligation shall be deemed fulfilled once the relevant funds have been credited to the Seller’s account, unless a different point in time is provided for by law or agreed by the parties.
4.6. If the price, product range or other material terms change before the contract is concluded, the Seller shall inform the Buyer so that the order can be agreed on the updated terms.
5. Delivery Procedure and Times
5.1. The delivery method, location and time shall be agreed by the parties when the order is placed.
5.2. Delivery may be carried out by a carrier, delivery service or another agreed method.
5.3. The cost of delivery, packaging and other related services shall be determined according to the agreed order terms.
5.4. The Seller shall inform the Buyer of any known circumstances that may affect the agreed delivery time.
5.5. Upon receipt of the products, the Buyer must check their names, quantities, completeness and visible condition. It is recommended that any damage, shortages or discrepancies be recorded in the carrier’s documents or acceptance documents and promptly reported to the Seller.
5.6. The transfer of ownership of the products and the risk of accidental damage or destruction shall be governed by law and the delivery terms agreed by the parties.
6. Product Quality and Warranty Obligations
6.1. The Seller shall supply products that comply with the agreed specifications, mandatory legal requirements and applicable manufacturer’s requirements.
6.2. Where a warranty period is established for a particular product, it shall be specified in the warranty documents, product passport or other documentation issued by the manufacturer or the Seller.
6.3. To make a warranty claim, the Buyer may contact the Seller using the contact details provided in this Offer, specifying the product, date of purchase and description of the defect, and providing the documents required to review the claim.
6.4. Warranty obligations do not cover faults arising from breaches of installation, operation, storage or transportation rules after the relevant risk has passed, mechanical damage, unauthorised repairs or other circumstances for which the Seller or manufacturer is not responsible under the law. This provision does not limit the Buyer’s mandatory statutory rights.
6.5. Installation, connection and operation of electrical products must be carried out in accordance with the manufacturer’s documentation, safety rules and applicable regulatory requirements.
7. Returns and Exchanges
7.1. Matters relating to product returns, exchanges and the remedying of defects shall be resolved in accordance with Ukrainian law, the nature of the legal relationship, the category of Buyer and the terms of the particular contract.
7.2. The Buyer has the right to submit a claim to the Seller regarding products of unsatisfactory quality or another lawful claim, providing a description of the situation and documents confirming the purchase, where available.
7.3. For products of satisfactory quality, the possibility and procedure for returns or exchanges shall be determined with due regard to legal requirements, including the rules applicable to the relevant category of Buyer and type of product.
7.4. If the Buyer is a consumer, their rights under Ukrainian consumer protection legislation shall remain in full force. The terms of this Offer may not restrict those rights.
7.5. Where a refund is required by law or agreed by the parties, it shall be made in accordance with the procedure and within the time limits established by law.
8. Rights and Obligations of the Parties
8.1. The Seller undertakes to:
• provide the Buyer with information about the products and the agreed order terms;
• supply products in accordance with the concluded contract;

8.2. The Seller has the right to:

8.3. The Buyer undertakes to:
• provide accurate information necessary to place the order;
• verify the agreed product specifications and delivery terms;
• make payment in accordance with the procedure and deadlines established by the contract;
• accept the products in accordance with the agreed terms.

9. Liability of the Parties
9.1. The parties shall be liable for non-performance or improper performance of their obligations in accordance with Ukrainian law and the terms of the concluded contract.
9.2. The Seller shall not be liable for inability to fulfil an order caused by inaccurate or incomplete information provided by the Buyer, provided that the Seller is not at fault and subject to mandatory legal requirements.
9.3. The Seller shall not be liable for the consequences of using products contrary to their intended purpose, technical documentation or safety rules, except where such liability is imposed on the Seller by law.
9.4. No provision of this Offer shall release either party from liability that cannot be excluded or limited under Ukrainian law.
10. Force Majeure
10.1. The parties shall be exempt from liability for non-performance of obligations to the extent that they prove such non-performance was a direct consequence of force majeure circumstances in accordance with Ukrainian law.
10.2. Such circumstances may include hostilities, terrorist acts, blockades, natural disasters, fires, decisions of public authorities and other extraordinary and unavoidable circumstances meeting the statutory criteria for force majeure.
10.3. The party affected by such circumstances must notify the other party within a reasonable time as soon as it becomes practicable to do so.

11.2. Data may be used to the extent necessary to process enquiries, place and fulfil orders, process payments, deliver products, provide warranty service and comply with the Seller’s legal obligations.
